These Terms create a legal agreement between you (“You” and “Your”) and Pragmatica Law LLP (“Pragmatica”) that governs: (1) the information of Pragmatica (the “Information”) made available through this website; (2) the nature of the relationship between You and Pragmatica; (3) certain other matters of professional responsibility; (4) Pragmatica’s use of Your information gathered by it through this website; and (5) Your use of this website, related systems, and the Information (collectively, the “Site”). By accessing any portion of the Site, You are indicating that You have read and understood, and that You agree to be bound by, these Terms and our Privacy Policy as posted, each of which may be updated from time to time. If You do not agree to these Terms and the Privacy Policy, You are not permitted to access or use the Site.

1. No Legal Advice

The materials available at this Site are for informational purposes only, and not for the purpose of providing legal advice or to be a substitute for advice from an attorney qualified in a jurisdiction applicable to you. Without limiting the foregoing, the Information on this Site may not reflect recent developments in the law, may not be complete, and may not be accurate in or applicable to Your jurisdiction. Because the Information is general in nature and may not pertain to Your specific circumstances, You should not act or refrain from acting based on any Information without first obtaining advice from professional counsel qualified in the applicable subject matter and jurisdiction(s).

2. No Attorney-Client Relationship

Pragmatica has a policy of entering into attorney-client relationships with its clients only in accordance with certain procedures, which includes executing an Engagement Letter and addressing professional responsibility conflicts as required by the laws and Rules of Professional Conduct for lawyers in the states in which Pragmatica has attorneys. You agree that Your access of the Site or receipt of the Information, or Your transmission of electronic mail to addresses on the Site, does not create an attorney-client relationship between You and Pragmatica.

3. Other Matters of Professional Responsibility

Sensitive Communications. You may send us email or other electronic messages. However, if you communicate with us in connection with a matter for which we do not already represent you, you should not send us confidential or sensitive information because your communication will not be treated as privileged or confidential. If you communicate with us electronically in connection with a matter for which we already represent you, you should note that the security of Internet communications is not guaranteed. By sending sensitive or confidential email or other communications that are not encrypted, you accept the risks of such uncertainty and possible lack of confidentiality over the Internet. Pragmatica cannot guarantee the confidentiality of any electronic communications sent to or received by it.

Authorized Jurisdictions; Certifications. While Pragmatica practices law in the jurisdictions in which its attorneys are located, each Pragmatica attorney may not be licensed outside of the state in which he or she practices. Except as specifically stated, each Pragmatica attorney is not certified (including as a specialist) by any professional or government authority. The listing of Pragmatica attorneys in practice groups is not intended to indicate any professional or governmental certification.

Principal Office; Responsible Attorney. Pragmatica’s principal office is its San Francisco, California office. Pragmatica’s responsible attorney for the office is Greg Wrenn.

Attorney Advertising. This Site is not intended as an advertisement or solicitation even if certain jurisdiction treat it as such.

4. No Warranty of Results

The Information on this Site may contain references to or descriptions of matters in which Pragmatica has successfully represented clients. The results achieved in such matters were dependent on their specific facts and circumstances, and are not intended to be, and should not be construed as, a prediction, guarantee, or warranty regarding the outcome of any future matter, even in comparable circumstances. Information pertaining to Pragmatica clients has been included with their consent or in anonymized or publicly available form, and does not necessarily reflect those clients’ opinions of Pragmatica or its attorneys.

5. Electronic Mail

Subject to Section 6 (Prohibited Uses) below, You may send electronic mail to those addresses made available on the Site for the purposes of: requesting publications, legal updates, or other informational materials; submitting inquiries regarding Pragmatica or its legal services; responding to or making inquiries regarding Pragmatica events; and inquiring about employment opportunities with the firm. You agree to cease sending electronic mail to any Pragmatica address upon our written request.

5. Privacy

With respect to information submitted or collected on the Site, You accept Pragmatica’s Privacy Policy, which is incorporated herein by reference. Pragmatica is not responsible for the privacy practices of any third-party websites to which the Site hyperlinks.

6. Prohibited Uses

You will not use the Site in violation of any applicable law or regulation. Without limiting the foregoing, You will not use the Site in connection with: (a) the infringement of intellectual property rights, including Pragmatica’s rights in its marks, materials, and publications; (b) the unauthorized transmission of unsolicited commercial electronic mail or other spam communications; (c) the transmission of defamatory, harassing, or otherwise unlawful materials; (d) fraud or misrepresentation of any kind; or (e) any attempt to violate or circumvent the security, integrity, or access control systems of the Site. You will not engage in any conduct that could damage, disable, overburden, or impair the Site or interfere with any other party’s use of the Site. In the event that You access or receive information through the Site that was not intended for You, You agree to immediately notify Pragmatica at info@pragmaticalaw.com and to lawfully destroy all copies of such information in Your possession.

7. General Terms of Use

The Site including the Information is protected by United States and international copyright laws. All rights are reserved. Subject to the terms of these Terms, Pragmatica grants to You a limited, nonexclusive, non-transferable, revocable, personal license to access, view, download and print the Information solely for lawful noncommercial and informational purposes. You may not modify the Information in any way, and You may not remove or obscure any copyright or permission notices provided on or in connection with the Information. Pragmatica does not grant to You any rights in its marks. You are free to hyperlink to any page in the publicly available pages of the Site; provided, however, that You agree to remove any such hyperlink upon Pragmatica’s written request.

The Site is provided to you “AS IS.” Your access and use of the Site is at Your own risk. To the extent permitted by the law and rules of professional responsibility in the applicable jurisdiction, Pragmatica disclaims all conditions, representations and warranties, express, implied, statutory or otherwise, including any warranties of merchantability, fitness for a particular purpose, title, accuracy of informational content, system integration, non-infringement of third party rights, quiet enjoyment, and uninterrupted or error free operation.

To the extent permitted by the law and rules of professional responsibility in the applicable jurisdiction, Pragmatica disclaims liability for any lost profits or income, lost business, or lost data, or for any consequential, indirect, exemplary, punitive, special, or incidental damages arising from or relating to use of the Site.

Pragmatica may hyperlink to or otherwise make third party information available on the Site. This is done solely for the purposes of convenience. Pragmatica does not endorse or approve of any such third-party information or such third parties.

8. Governing Law and Dispute Resolution

You agree that any dispute arising out of or in connection with the Site or these Terms will be governed by the laws of the State of California, without reference to conflict of laws principles that would require the application of the laws of any other jurisdiction. You submit to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California for resolution of any such disputes.
